On 4 December 2008, an amendment to the Shelf Offering Report dated 6 November 2008 was published.
Shelf Offering Report
The Shelf Offering Report published on 6 November 2008 is an update of the Shelf Prospectus published on 28 May 2008 and is published in connection with the issuance and listing for trade on the Tel Aviv Stock Exchange of shares in the capital of Kardan N.V., debentures (series 1) convertible into shares of Kardan N.V. and non-convertible debentures (series B), in connection with the envisaged merger of GTC Real Estate N.V. into Kardan N.V. by way of a triangular merger under Dutch Law.

Shelf Prospectus
